TERMS OF SALES

1- GENERAL INFORMATION :

Following terms & conditions aim to define rights and obligations of the company « Benoît Dereau » represented by Benoît Dereau – 3D Graphic Designer – and its clients, in the context of the selling of the following delivery and products :
- Graphic creation and conception.
- Website creation.
Benoît Dereau reserves the right to modify terms & conditions and prices at any time without notice. These modifications will make no impact on the ongoing commands. If the customer is an individual, he acknowledges that he is at least 18 years of age. Any client appealing to Dereau Benoît services recognise having read and accepted the following terms & conditions.


2- CUSTOMER RESPONSIBILITY :

The customer agrees to provide accurate and sincere informations and agrees to warn Benoît Dereau of any change in the provided data and will be the only responsible of eventual dysfunctions resulting of compromised data. The customer must provide valid phone number, e-mail adress and mailing adress.


3- COMMITMENT FOR THE PARTIES :

Generally speaking, the customer and Benoît Dereau commit to actively collaborate and communicate about any difficulty encountered by either party, to allow the other party to take the best necessary measures.
In order to allow Benoît Dereau to achieve its mission, the customer must agree to: establish precise and detailed technical specifications, submit an order form/quote (dated and signed), provide every necessary graphic and textual documents to ensure the successful completion of the contract, posses rights on the previously cited documents, to actively contribute to the success of the project by providing any informations and documents to Benoît Dereau during the appropriate time periods for the good understanding of the customer needs and the quality of the delivery, to pay on time the sums due to Benoît Dereau.
If necessary, Benoît Dereau can intervene for the technical specifications elaboration, together with the customer and commit to regularly and effectively inform the customer of the advance of the project completion.


4- ORDER FORM (QUOTE) AND STARTING WORK :

The quote signed by the customer means terms and conditions acceptance. Benoît Dereau reserves the right to cancel or refuse quote validation of any customer with which any litigation exists. Order must be endorsed by a signed quote send by mail (or delivered by hand) to Benoît Dereau. Work start when every documents (signed order forms/quotes) and graphic, documentary and textual elements are available to Benoît Dereau.


5- TARIFFS :

All tariffs for services are expressed in Euros “Not applicable VAT, art. 293B of CGI”.


6- FINAL VERIFICATIONS AND CUSTOMER AGREEMENT :

This step requires the special attention of the customer in order to warn possible errors to correct before completing ordered files. Final validation term “Agreed and signed + customer’s signature + date” disclaim Benoît Dereau of liability on the whole creation. An agreement “Agreed and signed + customer’s signature + date” transmitted by e-mail or delivered by hand constitute a final validation.


7- IMAGE AND IMPRESSION CALCULATION FEES :

Payment of image and impression fees are made by the customer to the supplier and service provider chosen by the customer. If the customer asked to Benoït Dereau a service of image calculation and for impression, Benoît dereau can “subcontract” this task to render farms dedicated to computer graphics and to selected printers. Any necessary journey to accomplish this task can be charged to the customer.


8- INVOICE AND PAYMENT – OVERDUE PAYMENT TERMS :

Payments are labelled at “Benoît Dereau”, byc heck or by bank transfer. Invoice payment is made within 15 days from the invoice date. In the case of a non-reception of the invoice payment within 15 days, late calculation fees of 15% of the invoice amount can be requested to the customer per day after the 15 days following the invoice date, in application of law n° 92-1442, 31-12-1992. In the case of lack of pay, the customer will take over every recovery costs. Interests accrue automatically from the final date to the payment. When the payment is spread, the non-payment of a single deadline leads to the immediate exigibility of the total payment and interest without formal notice. In no way payments can be suspended or be eligible for compensation without prior written agreement of the vendor. Any partial payment will first be deduced on late interests and the non-preferential part of the amount owing, then on sums of which the exigibility is the oldest.


9- DELIVERY :

Delivery is made either on CD, by e-mail with attached files or hand-delivered. Delivery time stated when signing the contract is indicative and may be subject to modification. Website can be delivered without installation on the customer hosting service. In the context of a project requiring the incorporation of external elements, Benoît Dereau can’t be held responsible of a third party fault. Any reasonable delay in delivering shall not entitle the customer to damage nor shall it entitle it to cancel the order.


10- ORDER CANCELLATION :

If the contract is terminated or even partially cancelled whatever the cause may be, the payment is due in its entirety without eventual prejudice to the payment of damages.


11- WORK INCAPACITY :

In case of incapacitation for work by reason of sickness or accident, Benoît Dereau reserves the right to change the ongoing schedule without any damages being claimed on the part of the customer. It is recognised that Benoît Dereau shall warn the customer since the first working day of its incapacity.


12- LA FORCE MAJEURE :

The parties can’t be held responsible or having failed to meet their contractual obligations where the failure to implement the respective obligations originated force majeure. Contract between both parties is suspended until extinction of causes responsible to force majeure. Be considered a force majeure any fact or circumstance irresistible, external parties, unforeseeable, inevitable, independent of the will of the parties and which cannot be prevented by them despite all efforts reasonably possible. Are considered as force majeure, strikes, war or civil war, riots, acts of terrorism, disruption of transport and supply, earthquakes, fires, storms, floods, lightings, disruption of telecommunication networks or any other unforeseen event independent of the will of the parties. The party that is victim of force majeure shall notify the other one within 5 working days following the date on which the party is aware of the problem. The parties may the agree on conditions under which the contract execution will be continued.


13- LITIGATION MANAGEMENT :

The contract is governed by French law. In the case of a dispute, both parties undertake to make every effort to resolve the dispute amicably. If the dispute can’t be resolved amicably, the competent court is located in the state of residence of Benoît Dereau: Ille-et-Vilaine.


14- COPYRIGHT AND COMMERCIAL POLICY :

Unless explicitly mentioned by the customer, Benoît Dereau reserves the right to include in its work a mention of its contribution.


15- PUBLICITY RIGHT :

Benoît Dereau reserves the right to mention accomplished works for the customer on its external communication documents and publicity (website, portfolio, blog, brochure, etc…) and for commercial canvassing. Customer must provide (if the support permit it) several copies of the completed and finalised work.


16- INTELLECTUAL PROPERTY :

The copyright and all other rights of Benoît Dereau’s works shall remain with Benoît Dereau. It is recalled that after the French intellectual property code (Art. L. 122-4), any representation or reproduction, in whole or in part, made without the consent of Benoît Dereau or its legal beneficiaries is illegal and punishable by law concerning counterfeiting offences. The same applies for translation, adaptation or transformation, arrangement or reproduction of the works by any process.


17- ASSIGNMENT OF RIGHTS TO THE WORK :

Law texts (extracts):
– Any work is an original creation protected by law n° 92-597 of 1.7.1992 relative to the intellectual property code. The creation remains the moral and physical property of the author.
– The customer is not the owner of the work but purchase the right to use the work for a defined and limited use specified by the invoice. The work can’t be modified, reproduced, sold or reused for any other use without prior written approval of the creator.
– Author’s signature can’t be moved nor deleted without prior written approval of the creator. In accordance with the law of March 11th 1957, signature of any reproduction, representation or interpretation is a legal notice, whatever is the form of the use. Author’s notices shall be visibly displayed on or directly adjacent to the reproduction or representation.






CONDITIONS GENERALES DE VENTE

1- GÉNÉRALITÉS :

Les présentes conditions générales de vente ont pour objet de définir les droits et obligations de l'entreprise Benoît Dereau représentée par Benoît Dereau -Infographiste 3D- et de ses clients, dans le cadre de la vente des prestations et produits suivant:
- Création et conception graphique. - Création de site internet. Benoît Dereau se réserve le droit de modifier ses conditions générales de vente et ses tarifs à tout moment et sans préavis. Ces modifications n'auront aucune incidence sur les commandes en cours. Si le client est un particulier, il reconnaît être majeur. Le client faisant appel aux services de Monsieur Dereau Benoît reconnaît avoir pris connaissance et accepté sans réserve les conditions générales de vente suivantes.


2- RESPONSABILITE DU CLIENT :

Le client s'engage à fournir des informations justes et sincères et s'engage à prévenir Benoît Dereau de tout changement concernant les données fournies, et sera seul responsable des éventuels dysfonctionnements qui pourraient résulter d'informations erronées. Le client doit maintenir un n°de téléphone, une adresse e-mail et une adresse postale valides.


3- ENGAGEMENTS DES PARTIES :

D’une façon générale, le client et Benoît Dereau s’engagent à collaborer activement et à communiquer toutes les difficultés dont l’un ou l’autre auraient connaissance, au fur et à mesure, pour permettre à l’autre partie de prendre les mesures nécessaires.
Pour permettre à Benoît Dereau de réaliser sa mission, le client s’engage à : établir un cahier des charges détaillé, remettre le bon de commande/devis (daté, signé), fournir tous les éléments documentaires graphiques et textuels nécessaires à la bonne réalisation du contrat, disposer des droits nécessaires sur les éléments fournis ci-dessus, collaborer activement à la réussite du projet en apportant à Benoît Dereau dans les délais utiles toutes les informations et documents nécessaires à la bonne appréhension des besoins et à la bonne exécution des prestations, régler dans les délais précis les sommes dues à Benoît Dereau.
Au besoin Benoît Dereau pourra intervenir dans l’élaboration du cahier des charges, conjointement avec le client, et s’engage à informer de manière régulière et efficace le client de l’avancée de la réalisation du projet.


4- BON DE COMMANDE (DEVIS) ET DÉBUT DES TRAVAUX :

Le devis signé par le client vaut acceptation des conditions générales de vente. Benoît Dereau se réserve le droit d’annuler ou de refuser la validation de devis d’un client avec lequel il existerait un litige. La commande doit se valider par un envoi par courrier du devis signé (ou remis directement en « main propre ») à Benoît Dereau. Les travaux débutent lorsque tous les documents (devis signés) et éléments documentaires graphiques et textuels nécessaires sont à la disposition de Benoît Dereau.


5- TARIFS :

Les tarifs des prestations sont exprimés en Euros - TVA Non applicable.


6- VERIFICATIONS FINALES ET B.A.T :

Cette étape demande l'attention particulière du client afin de signaler les éventuelles erreurs à corriger avant de boucler les fichiers. Le terme de validation finale « BAT - bon pour accord + signature client + date » dégage Benoît Dereau de toute responsabilité sur l'ensemble de sa création. Un accord « BAT – bon pour accord + signature client + date » transmis par email ou en « main propre » tient lieu de validation finale.


7- FRAIS DE CALCULS D'IMAGES ET D'IMPRESSION :

Le règlement de ceux-ci se feront par le client directement auprès du fournisseur et prestataire extérieur choisi par le client. Si le client a choisi de faire appel à Benoît Dereau pour les calculs d'images et pour l’impression, Benoît Dereau peut « sous-traiter » leur réalisation à des fermes de rendus dédiées à l'infographie ainsi qu’aux imprimeurs choisis par lui. Les déplacements nécessaires à la bonne exécution de cette tâche pourront également être facturés au client.


8- FACTURE ET RÈGLEMENT – MODALITES DE RETARD :

Les règlements se font à l'ordre de Benoît Dereau, par chèque ou virement. Le règlement de la facture se fait dans un délai de 15 jours à compter de la date de facturation. Dans le cas où le règlement de la facture n'est pas réceptionné dans les 15 jours de l'envoi de ladite facture, des pénalités de retard de 15% du montant de la facture pourront être sollicités au client défaillant par jour de retard, en application de la loi n° 92-1442 du 31-12-1992. En cas de non-paiement, le client prendra en charge tous les frais de recouvrement. Les intérêts courront automatiquement du jour de l'échéance jusqu'au paiement. Lorsque le paiement est échelonné, le non-paiement d'une seule échéance entraînera l'exigibilité immédiate de la totalité de la dette, et des intérêts sans mise en demeure. En aucun cas les paiements ne peuvent être suspendus ni faire l'objet d'une quelconque compensation sans l'accord écrit et préalable du vendeur. Tout paiement partiel s'imputera d'abord sur les intérêts en retard et la partie non privilégiée de la créance, puis sur les sommes dont l'exigibilité est la plus ancienne.


9- LIVRAISON :

La livraison est effectuée soit par la remise d’un CD-ROM, ou par l’envoi d’un courrier électronique avec fichier joint, ou en main propre. Le délai de livraison indiqué lors de la signature de la commande est donné à titre indicatif et peut être sujet à variation.
La création d'un site web pouvant être livré sans l'installation de celui-ci sur le service d'hebergement du client.
Dans le cadre d’un travail nécessitant l’incorporation d’éléments extérieurs, Benoît Dereau ne peut être tenu responsable du fait du tiers. Tout retard raisonnable dans la livraison des produits ne pourra pas donner lieu à des dommages et intérêts et/ou à l’annulation de la commande.


10- ANNULATION DE COMMANDE :

En cas de résiliation ou d'annulation même partielle de la commande et à quelque cause que ce soit, le prix est dû en son entier sans préjudice de dommage et intérêts éventuels.


11- INCAPACITÉ DE TRAVAIL :

En cas d’incapacité de travail, par suite de maladie ou d’accident,  Benoît Dereau se réserve le droit modifier le calendrier en cours sans qu’il ne puisse être exigé par le client le versement d’indemnités. Il est admis que Benoît Dereau se doit d’avertir le client dès le premier jour ouvrable de son incapacité.


12- LA FORCE MAJEURE :

Les parties ne peuvent être considérées comme responsables ou comme ayant failli à leurs obligations contractuelles lorsque le défaut d’exécution des obligations respectives a pour origine la force majeure ; le contrat entre les parties est suspendu jusqu’à l’extinction des causes ayant engendrées la force majeure. La force majeure prend en compte des faits ou circonstances irrésistibles, extérieurs aux parties, imprévisibles et indépendants de la volonté des parties, malgré tous les efforts raisonnablement possibles pour les empêcher. Sont aussi considérés comme cas de force majeure, le blocage des moyens de transports ou d’approvisionnements, tremblements de terre, incendies, tempêtes, inondations, foudre, l’arrêt des réseaux de télécommunication, et notamment tous les réseaux accessibles par Internet, ou difficultés propres aux réseaux de télécommunication extérieurs aux parties. La partie touchée par la force majeure en avisera l’autre dans les 5 jours ouvrables suivant la date à laquelle elle en aura eu connaissance. Les deux parties conviendront alors des conditions dans lesquelles l’exécution du contrat sera poursuivie.


13- REGLEMENT DES LITIGES :

Le contrat est soumis au Droit Français. En cas de litiges, les parties s'engagent à tout faire pour régler leurs différends à l'amiable.
Au cas où une résolution amiable ne pourrait aboutir, la juridiction compétente est celle du lieu de domiciliation de Benoît Dereau: Ille-Et-Vilaine.


14- COPYRIGHT ET MENTION COMMERCIALE :

Sauf mention contraire explicite du client, Benoît Dereau se réserve la possibilité d’inclure dans la réalisation une mention commerciale indiquant clairement sa contribution.


15- DROIT DE PUBLICITÉ :

Benoît Dereau se réserve le droit de mentionner les réalisations effectuées pour le client sur ses documents de communication externe et de publicité (site internet, portfolio, blog, plaquette etc...) et lors de démarchages de prospection commerciale.Le client se doit de fournir si le support le permet plusieurs exemplaires de la réalisation finalisée.


16- PROPRIETE INTELLECTUELLE :

Les droits d'auteur des créations de Benoît Dereau restent la propriété exclusive de Benoît Dereau.
Il est rappelé que selon le Code français de la propriété intellectuelle (Art. L. 122-4), toute représentation ou reproduction intégrale ou partielle faite sans le consentement de l’auteur ou de ses ayants droit est illicite et punie selon les lois relatives au délit de contrefaçon. Il en est de même pour la traduction, l’adaptation ou la transformation, l’arrangement ou la reproduction par un art ou un procédé quelconque.


17- CONDITIONS DE CESSION DES DROITS D'EXPLOITATION :

Textes de loi (extraits) : Toute œuvre est une création originale protégée par la loi n° 92-597 du 1.7.1992 relative au Code de la propriété intellectuelle. Elle demeure la propriété morale et physique de son auteur.
- Le client n'est pas propriétaire de l'œuvre mais en achète des droits d'utilisation pour un usage défini et limité par la facture. L'œuvre ne peut être modifiée, reproduite, vendue ou réutilisée pour un autre usage sans l'accord écrit préalable de son auteur.
- La signature de l'auteur ne peut être ni déplacée ni supprimée sans l'accord écrit de l'auteur. Conformément à la loi du 11 mars 1957, la signature de chaque reproduction, représentation ou interprétation est une mention légale, quelle que soit la forme de l'utilisation. Les mentions de l'auteur doivent figurer lisiblement soit, sur/ou à proximité immédiate de la reproduction ou de la représentation.
